Terms of Service
Effective April 12, 2026. Last updated November 6, 2026.
These terms govern the use of OccluTrace by dental laboratories, clinicians, and CAD/CAM teams.
1. Acceptance of terms
By accessing or using OccluTrace (“the Service”), operated by Dental Cloud Technologies LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and the Company.
If you do not agree to these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, “you” and “your” refer to both you individually and the organization you represent.
2. Eligibility
You must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, to use the Service.
The Service is intended for use by licensed dental professionals, dental laboratories, and CAD/CAM technicians. The Service is not intended for direct patient use.
3. Service description
The Service comprises: (a) the web application at occlutrace.ai; (b) OccluTrace for Windows, a downloadable Windows desktop application (the “App”); and (c) any application programming interfaces (APIs) we make available. Across these surfaces, the Service processes dental 3D mesh files. OccluTrace designs single crowns with AI margin-line and crown-shape proposals that you review and edit, computes occlusal alignment of upper and lower scans, and prepares print models. The App runs on your workstation and submits scans to, and retrieves results from, the same cloud service; it does not perform alignment offline.
OccluTrace is software for dental laboratories and licensed dental professionals. AI results (margin-line proposals, crown-shape proposals, bite alignment and print models) are editable starting points; you review, edit and approve every design and are responsible for the final design and the manufactured restoration. OccluTrace does not diagnose, plan treatment or replace a clinical bite record, and we do not practise dentistry or provide professional services to patients. During early access the Service is offered only to users outside the European Union and European Economic Area, the United Kingdom and Canada.
Windows App. We grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the App on workstations you control, solely to access the Service under these Terms. The App may check for and install updates automatically so that you run a current, supported version; by using it, you consent to those automatic updates. The App is provided “as is” subject to Sections 9 and 10, and you may not modify, reverse-engineer, or redistribute it except as applicable law or the open-source licenses included with the App installation permit. Attributions and license texts for those open-source components are provided with each App installation. The App is also covered by the OccluTrace for Windows End User License Agreement shown at installation; if that agreement and these Terms conflict, these Terms control.
API. If we make API access available, your use of any API is part of the Service and is subject to these Terms and to any additional API documentation, rate limits, or terms we publish. You are responsible for keeping API credentials confidential and for all activity that occurs under them.
Service availability and changes. The Service is provided on an ongoing but not guaranteed basis. We may add, modify, suspend, limit, or discontinue the Service or any feature, including the App or any API, at any time, with or without notice. We do not guarantee any particular uptime, availability, processing time, or result, and we are not liable to you or any third party for any modification, suspension, or discontinuation of the Service, except as required by applicable law.
4. Account registration
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate.
- Maintain the security and confidentiality of your login credentials and not share your account with any third party.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately at contact@occlutrace.ai if you become aware of any unauthorized access to or use of your account.
5. Access and payment
Early access is free and unlimited while plans are closed. Existing users receive at least 30 days’ notice before paid access starts. Past free work is never charged later.
Pricing lists the plans. One crown tooth position and one standalone bite alignment each use one unit from the same monthly count. The bite check inside a crown, print models, downloading again and team members are free.
Paid plans are billed in advance in USD, monthly or yearly. Plans renew automatically every month or year at the listed price until you cancel. The allowance resets every month, also on yearly plans. Unused plan units carry to the next month only, capped at the monthly allowance. Carried units are used first, never carry again, and expire on a return to Free. Paid plans include single-crown design. Free Crown access still needs an invitation. An organization shares one plan with unlimited members; only its owner manages it.
Extras use the plan’s rate for both crowns and bite alignments. On a new paid plan, Extra crowns is on and its monthly spending limit equals the plan’s monthly price. The owner can turn it off or change the limit in Usage. Work stops at the allowance when extras are off, or when the spending limit is reached. Extras are invoiced after use, monthly even on yearly plans.
Cancel online in Billing at any time. Access continues to the end of the paid period, with no partial refunds, and the plan then returns to Free. Resume before that date to keep automatic renewal. Upgrades apply now with any prorated amount shown before confirmation; downgrades apply at renewal.
Price changes are emailed at least 30 days before they apply and take effect at your next renewal.
If payment fails, work continues for a 7-day grace period, then the Free allowance applies. Lab agreements are invoiced monthly in USD or EUR, paid by bank transfer within 14 days.
6. Acceptable use
You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not:
- Use the Service for direct patient diagnosis or treatment planning without independent review and verification by a qualified dental professional.
- Submit ePHI other than through designated private case features, or without an applicable Business Associate Agreement that authorizes that use. Do not place patient identifiers in public URLs, analytics fields, public support messages, email, or other non-clinical fields.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to extract or derive the source code, proprietary technology, or trade secrets of the Service.
- Resell, sublicense, or provide access to the Service to third parties without prior written authorization from the Company.
- Use the Service, or copy its features, models or interface, to build a competing product. Your Outputs are yours to use as you wish.
- Upload files containing malware, viruses, or any form of malicious code.
- Interfere with or disrupt the integrity or performance of the Service or platform.
7. Intellectual property
Your content. You retain all rights, title, and interest in and to the files you upload to the Service. By uploading files, you grant the Company a limited, non-exclusive, non-transferable license to process, store, and transmit those files solely as necessary to provide the Service. We do not claim ownership of your data.
Outputs. As between you and us, designs, margin lines, aligned scans, models and files the Service produces from your content for you (“Outputs”) belong to you, and we assign to you any rights we have in them. We keep our software, models, templates and libraries used to make them.
No training on your data. We do not use your files, cases, designs, results or Outputs to train, fine-tune or improve any machine-learning model.
Our platform. The Service, including but not limited to its software, algorithms, visual design, user interface, documentation, and all related intellectual property, is and shall remain the exclusive property of Dental Cloud Technologies LLC and its licensors. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, modify, distribute, or create derivative works based on the Service.
Trademarks. The OccluTrace name, logo, and all related marks are trademarks of Dental Cloud Technologies LLC. You may not use these marks without prior written consent.
8. Medical and clinical disclaimer
OccluTrace does not diagnose, treat, cure, or prevent any disease or condition, and it does not plan treatment. Its results, including bite alignment, AI-proposed margin lines, and AI-generated crown designs, are proposals. A qualified dental professional must review and, where needed, edit every result and is responsible for the final design before it is manufactured or used clinically. Users assume full responsibility for clinical decisions made using output from the Service.
The Company makes no representations or warranties regarding the clinical suitability, completeness, or reliability of any output generated by the Service. All results are provided for informational and professional reference purposes only. The Service does not replace the judgment of a qualified dental professional.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. THE COMPANY DOES NOT WARRANT THAT ANY PARTICULAR RESULT OR LEVEL OF ACCURACY WILL BE ACHIEVED. YOU USE THE SERVICE AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the greatest extent permitted by applicable law.
10. Limitation of liability
IN NO EVENT SHALL DENTAL CLOUD TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF DATA, LOSS OF REVENUE, LOSS OF PROFITS, CLINICAL OUTCOMES, OR ANY OTHER INTANGIBLE LOSSES, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). NOTHING LIMITS LIABILITY FOR FRAUD, WILFUL MISCONDUCT, OR ANYTHING THAT CANNOT BE LIMITED BY LAW.
Some jurisdictions do not allow limitations on incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Dental Cloud Technologies LLC and its officers, directors, employees, agents, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; or (d) any clinical decisions or actions taken based on output from the Service.
12. Termination
Either party may terminate this agreement at any time. You may terminate your account by contacting us at contact@occlutrace.ai or by using the account deletion feature on your Account page.
We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms or if continued access poses a risk to the Service, other users, or the Company.
Upon termination, your right to use the Service ceases immediately. Section 13 describes what happens to your data. The provisions listed under Survival in Section 16 continue after termination.
13. Suspension; data on termination
We may suspend access, with notice where practical, for non-payment, security risk, legal requirement, or breach of the acceptable use rules.
Export your case files before you close your account: each case offers its files for download, and Download your data on your Account page exports your account record. Deleting your account removes your cases and files from active storage right away, subject to backups that expire on their normal cycle and legal retention duties. A case you delete stays in the trash for 30 days and is then permanently deleted.
If we end your access, you may ask for an export of your case files at contact@occlutrace.ai. Uploaded scan files and job results are deleted automatically 90 days after the job is created, as described in the Privacy Policy. Payment obligations accrued before termination survive.
14. Governing law and disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Informal resolution. Before filing, send a written notice describing the claim to contact@occlutrace.ai; both sides will try in good faith for 60 days.
Arbitration. Unresolved disputes go to final, binding, individual arbitration under the Federal Arbitration Act, administered by the American Arbitration Association under its Commercial Arbitration Rules, or under its Consumer Arbitration Rules if you use the Service mainly for personal purposes. Seat: Miami-Dade County, Florida; hearings may be by video. Fees follow the applicable AAA schedule; for consumer cases we pay fees beyond your filing fee as those rules require.
Exceptions. Either party may bring an individual claim in small-claims court, or seek an injunction in court for misuse of intellectual property or confidential information.
Mass filings. If 25 or more similar demands are filed by or with the help of the same counsel, they are administered under the AAA Mass Arbitration Supplementary Rules and staged in batches of up to 50, with remaining claims and limitation periods paused until each batch ends.
Opt-out. You may opt out of arbitration by emailing contact@occlutrace.ai with the subject “Arbitration opt-out” within 30 days after you first accept these Terms.
Class action waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company. If the class waiver is found unenforceable for a claim, that claim proceeds in court and this arbitration section does not apply to it.
Courts and jury. Matters not arbitrated go to the state and federal courts in Miami-Dade County, Florida. EACH PARTY WAIVES TRIAL BY JURY.
15. Modifications
We may update these Terms. For a material change we will email the account owner and show a notice in the Service at least 30 days before it takes effect, and may ask you to accept the new version before further use. Changes do not apply to a dispute you notified before the change. Previous versions are available on request. If you reject a change, you may cancel and the current Terms apply until your paid period ends.
16. General provisions
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Entire agreement. These Terms, together with our Privacy Policy and the documents named under Order of precedence below, constitute the entire agreement between you and the Company regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
Assignment. You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of the Company. The Company may assign these Terms without restriction.
Force majeure. The Company is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, network or utility failures, or the failure or unavailability of third-party services or infrastructure.
Feedback. If you send us suggestions, ideas, or other feedback about the Service, you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation or compensation to you. Feedback is provided voluntarily and is not treated as your confidential information.
Third-party services. The Service relies on or interoperates with third-party services, such as payment processing and the CAD/CAM tools you export to. We do not control and are not responsible for third-party services, their availability, or their terms. Your use of any third-party service is at your own risk and is governed by that third party’s terms.
Export and sanctions. The Service is subject to U.S. export control and sanctions laws, including the Export Administration Regulations. You will not use or provide access to it in a country or region under comprehensive U.S. sanctions, or for a person on a U.S. restricted-party list, and you represent you are not such a person.
Notices. We send notices to your account email. You send notices to contact@occlutrace.ai and to our postal address in Section 18. Email notice is effective when sent.
Beta features. Features marked beta or preview are provided as is, may change or end, and are excluded from any commitment.
No service level. No uptime or support commitment applies unless a signed order says otherwise.
Government users. The Service is commercial computer software provided under these Terms only (FAR 12.212; DFARS 227.7202).
Order of precedence. A signed order or lab agreement, then a signed BAA or data processing agreement (on data matters), then these Terms, then the Windows application licence.
Survival. Section 5 (payment obligations accrued before termination), Section 7 (intellectual property), Sections 8 and 9 (disclaimers), Section 10 (limitation of liability), Section 11 (indemnification), Section 13 (data on termination), Section 14 (governing law and disputes) and this Section 16 survive termination.
17. HIPAA and health data
Business Associate Agreement. We sign a Business Associate Agreement (“BAA”) with HIPAA covered entities and with business associates, such as dental labs that work for them. To request one, write to contact@occlutrace.ai from the email of your OccluTrace account and name the organization that will sign. If HIPAA applies to you, upload protected health information only after the BAA is signed. A signed BAA governs that information and prevails over these Terms where they conflict. We do not claim HIPAA certification.
Designated private case features may process dental scans, patient photographs, registration data, clinical project state, case names, original file names, and other information authorized by the customer. These details may appear in authenticated case surfaces. Public pages, logs, telemetry, object keys, and support channels are not designated ePHI fields; patient identity and clinical free text must not be included in logs, telemetry, object keys, or support messages.
Your responsibility. You must determine whether HIPAA or another health-data law applies to your use, configure access appropriately, submit ePHI only to designated case fields, and keep direct identifiers out of public fields and general-purpose messages. You remain responsible for clinical authorization, minimum-necessary use, user access, and your own legal obligations.
If ePHI is placed in a non-designated field, or submitted while you need a BAA that is not in place, stop using the affected case and contact us so we can help remove it.
Nothing in this section constitutes legal or compliance advice. Consult your organization’s privacy officer or legal counsel regarding your HIPAA obligations.
